LaunchLab Competition Terms and Conditions

LAUNCHLAB CHALLENGES

The following contains the terms and conditions which govern participation in the Ideas Programme Pitching Platform (“the Competition”) conducted by LaunchLab (Pty) Ltd in association with its business partners (“LaunchLab”). All persons or entities who complete the online entry process (“Entrants”) including their representatives agree to be bound to these terms which amongst other matters contain specific terms regarding the use of the information submitted by Entrants pursuant to their entry to the Competition (“Entry or Entries”) which shall include the video recordings of the business idea submitted by Entrants during their participation in the Competition (“Video Footage”).

  1. ENTRY
  1. Only Entrants who complete the online entry process shall be permitted to enter the Competition, provided that all information provided by the Entrant is complete and correct.
  2. Entrants must be South African residents (except for African partner participants with special permission from LaunchLab) and must be older than 18 years of age. By submitting an Entry for the Competition the Entrant confirms that he/she and his/her/its team (as the case may be) are at least 18 years of age. LaunchLab may at any time request that an Entrant provide evidence of the aforementioned. Failure to do so may result in an Entrant being disqualified.
  3. The criteria for Entries are contained on the LaunchLab website at https://www.launchlab.co.za/innovationchallenges/ and include any further criteria as stipulated by LaunchLab during the sign-up process.

 

  1. PARTICIPATION
  1. Entrants must be present at the venues chosen by them at the relevant times indicated on the LaunchLab website for purposes of pitching their business ideas. LaunchLab may make video recordings of the presentations submitted by Entrants, which recordings may be used by LaunchLab to evaluate the Entries and may be uploaded to the LaunchLab YouTube channel. Failure to attend the correct venue at the correct times shall result in disqualification.
  2. Entrants acknowledge that the information submitted by them in the course of their participation in the Competition, including as submitted by them during their representations to the LaunchLab judges panel and as contained in the Video Footage will be regarded as non-confidential. Entrants therefore agree to manage their disclosures accordingly and furthermore acknowledge that they will not have any claim against LaunchLab or its business partners for any claim based on misappropriation or disclosure of confidential information.
  3. By entering into the Competition the Entrant confirms that he/she and his/her/its team have agreed to be recorded and that LaunchLab may use the Video Footage for such purposes and as described herein.
  4. Where an Entrant submits Video Footage online, such submissions shall comply with the requirements for online submissions as specified on the LaunchLab website, including with regards to the length of the video presentation, the format of submission and any other requirements.
  5. LaunchLab shall evaluate the Entries and determine the finalists who shall be notified using the contact information provided in the Entry. LaunchLab may select an alternative finalist in the event that LaunchLab cannot after repeated attempts reach an Entrant to notify such Entrant that it has been selected as a finalist. It shall be the sole responsibility of an Entrant to ensure the contact information submitted by it in its Entry is correct.
  6. Finalists shall be determined by LaunchLab in its sole and absolute discretion at the hand of the criteria referred to in 1.3 above.
  7. Entrants who are confirmed as finalists shall be required to attend an event at a date and time to be confirmed by LaunchLab where such Entrants will be required to pitch their business idea to a panel of judges in front of a live audience. Failure to attend or participate in this event shall result in disqualification. Some of these Entrants shall be announced as the overall winners of the Competition and shall become eligible to receive the prize subject to 3 below. LaunchLab reserves the right not to choose a winner in any one or more of the Competition categories as may be the case, which decision shall be in the sole discretion of LaunchLab and its business partners.
  8. Any costs associated with the participation in the Competition by an Entrant (including for travel, accommodation etc) shall for the Entrant’s account and shall not be borne or subsidized by LaunchLab.

 

  1. PRIZE
  1. The winning Entrants may become eligible to receive seed funding contributed by business partners of LaunchLab as well as programme participation (in one or more LaunchLab programmes designated by LaunchLab) and hot seat space in the Nedbank Stellenbosch University LaunchLab for a period of time determined by LaunchLab and its business partners, provided that they agree to the specific terms of LaunchLab and such business partners including with regard to the use of the seed funding.
  2. Failure to agree to these terms will result in the Entrant being disqualified in which event LaunchLab may select an alternative winner from those Entrants selected as finalists.
  3. A winning Entrant is not automatically entitled to receive seed funding, even if seed funding is available for winning Entrants and all seed funding will be distributed based on the need of the winning Entrants at the sole discretion of LaunchLab and its business partners.
  4. The decision of the judges appointed by LaunchLab to award a prize shall be final and shall not be subject to any objection or review.
  5. Prizes shall be non-transferable and shall not be eligible for exchange or be redeemable for cash or any other alternative.

 

  1. NOTICE AND DISCLAIMER
    1. LAUNCHLAB RESERVES THE RIGHT TO POSTPONE OR TERMINATE THE COMPETITION AND THE PRIZE, OR ANY ASPECT THEREOF, FOR ANY REASONS WHATSOEVER PRIOR TO THE DETERMINATION OF THE WINNER. IN SUCH EVENT, THE ENTRANT HEREBY WAIVES ANY RIGHTS AND EXPECTATIONS WHICH IT MAY HAVE AGAINST LAUNCHLAB AND ACKNOWLEDGES THAT IT WILL NOT HAVE ANY RECOURSE OR CLAIM AGAINST LAUNCHLAB.
    2. LAUNCHLAB TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW DOES NOT ACCEPT ANY RESPONSIBILITY OR LIABILITY FOR ANY LOSS OR DAMAGE SUFFERED BY AN ENTRANT WHICH MAY ARISE AS A RESULT OF THE PARTICIPATION BY THE ENTRANT IN THE COMPETITION.

 

  1. WARRANTY, PROPRIETARY RIGHTS AND PERSONAL INFORMATION  
    1. THE ENTRANT WARRANTS THAT THE INFORMATION SUBMITTED BY IT IS CORRECT AND THAT IT HAS NOT INFRINGED ON THE RIGHTS OF ANY THIRD PARTY REGARDING THE CONTENT SUBMITTED BY IT TO LAUNCHLAB IN RELATION TO THE COMPETITION.
    2. THE ENTRANT FURTHERMORE UNDERTAKES THAT THE CONTENT, IDEAS OR PROPOSALS SUBMITTED BY IT UNDER AN ENTRY (“IDEAS”) IS ORIGINAL AND DOES NOT COMPRISE AN EXISTING IDEA OR SOLUTION WHICH IS IN THE PUBLIC DOMAIN OR WHICH HAS ALREADY BEEN IMPLEMENTED IN THE INDUSTRY TO WHICH THE COMPETITION RELATES. THE ENTRANT ACKNOWLEDGES THAT IDEAS WHICH ARE NOT ORIGINAL WITHIN THE MEANING DESCRIBED IN THIS CLAUSE, OR WHICH HAVE BEEN INDEPENDENTLY DEVELOPED BY ANY THIRD PARTY WITHOUT REFERENCE TO THE IDEA(S) SUBMITTED BY THE ENTRANT, MAY BE USED FREELY AND INDEPENDENTLY WITHOUT FURTHER REFERENCE TO THE ENTRANT, AND THE ENTRANT SHALL NOT HAVE ANY RECOURSE AGAINST LAUNCHLAB OR ITS BUSINESS PARTNERS IN THIS REGARD.
    3. THE ENTRANT GRANTS LAUNCHLAB AN IRREVOCABLE, PERPETUAL AND ROYALTY FREE LICENCE TO USE THE VIDEO FOOTAGE INCLUDING FOR PURPOSES OF THE COMPETITION.
    4. LAUNCHLAB MAY USE AND WHERE REQUIRED RETAIN THE PERSONAL INFORMATION OF THE ENTRANT AND/OR ITS REPRESENTATIVES FOR PURPOSES OF THE COMPETITION, LEGAL AND REGULATORY PURPOSES, STATISTICAL AND GENERAL INFORMATION PURPOSES INCLUDING FOR PURPOSES OF SENDING AN ENTRANT INFORMATION REGARDING FUTURE LAUNCHLAB COMPETITIONS AND INITIATIVES.

 

  1. LAW AND JURISDICTION
    1. Any disputes arising related to the participation of the Entrant in the Competition shall be governed and construed according to the laws of the Republic of South Africa and the Parties agree to submit to the non-exclusive jurisdiction of the Western Cape High Court, Cape Town of South Africa. The Entrant agrees to accept service of legal processes at the address it may provide to LaunchLab under an Entry.
